Please read these Terms of Service ("Terms") carefully. They constitute a legally binding agreement between you ("User," "you," or "your") and Chextr Inc. By accessing, browsing, or using Forge, you acknowledge that you have read, understood, and agree to be bound by these Terms, including the mandatory arbitration provision herein. If you do not agree to these Terms, you are strictly prohibited from accessing or using the Service.
1. Eligibility and Account Security
1.1 Age of Majority
You must be at least 18 years old, or the age of majority in your jurisdiction (whichever is older), and possess the full legal capacity and authority to enter into these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
1.2 Account Security
To access certain features, you must authenticate via Google Sign-In or establish an account. You are entirely responsible for maintaining the confidentiality of your account access credentials and for any and all activities that occur under your account. You agree to notify us immediately at [email protected] of any unauthorized use or security breach. We will not be liable for any loss incurred as a result of unauthorized account use.
2. Description of Service and AI Disclaimers
2.1 General Functionality
Forge provides a web application and website environment (forge.chextr.com) that coordinates content workflows, routing user-supplied parameters to large language models (LLMs) to draft, restructure, research, and polish written content.
2.2 Nature of AI Generation ("As-Is" Outputs)
You explicitly acknowledge and agree that:
- Hallucinations and Errors: Outputs are programmatically generated by third-party machine learning models. They may occasionally be inaccurate, incomplete, misleading, outdated, or completely erroneous.
- No Professional Reliance: Outputs do not represent the views of the Company. They are not a substitute for professional, legal, medical, financial, or expert human judgment.
- Mandatory Review: You assume sole responsibility and liability for testing, fact-checking, editing, and verifying the accuracy and appropriateness of any generated content before publishing, commercializing, or relying on it.
2.3 Bring Your Own Key (BYOK)
If you opt to supply your own third-party AI provider API keys (e.g., OpenAI, Anthropic):
- You are the direct counterparty to that third-party provider.
- You are solely responsible for all financial charges, API rate limits, data usage policies, and compliance obligations associated with those keys.
- Company acts strictly as a technical pipeline executing calls on your behalf and disclaims all liability for third-party billing spikes, key revocations, or data leaks occurring at the provider level.
3. Financial Terms, Plans, and Subscription Credits
3.1 Tier Structure and Modifications
Forge offers Free, Pro, and BYOK plans. The specific allotments of execution credits, features, and platform limits are detailed within the application interface and are subject to change at our sole discretion.
3.2 Payment Processing and Recurring Billing
By subscribing to a paid plan, you authorize our third-party payment gateway (e.g., Stripe) to charge your provided payment instrument for the periodic fee, plus any applicable taxes. Paid subscriptions automatically renew until canceled within your dashboard.
3.3 No Refunds
All fees and credit purchases are non-refundable, except as explicitly required by law or determined otherwise by the Company in writing.
4. Acceptable Use and Prohibited Activities
When accessing or using Forge, you agree that you will not, and will not permit any third party to:
- Illegal Use: Use the platform for any purpose that violates local, state, national, or international laws.
- Scraping and Automation: Deploy spiders, crawlers, scrapers, data-mining tools, or bots to harvest data, user inputs, outputs, or proprietary source code from the platform.
- Infrastructure Abuse: Circumvent rate limits, perform prompt injection attacks, exploit system bugs, or execute denial-of-service (DoS) attacks.
- Competitive Exploitation: Use the platform, its documentation, or its generated outputs to build, train, fine-tune, or improve a competing software application or large language model.
- Reverse Engineering: Decompile, reverse engineer, disassemble, or translate the core content-production systems, pipelines, or proprietary database infrastructure of Forge.
- Harmful Content: Generate material that promotes child exploitation, hate speech, non-consensual sexual content, real-world physical violence, or financial fraud.
- Misrepresentation: Imply that an AI-generated output from Forge is wholly human-generated if such misrepresentation violates consumer protection or transparency laws.
5. Intellectual Property and Content Ownership
5.1 Company Ownership
Chextr Inc. and its licensors retain all right, title, and interest—including all worldwide intellectual property rights—in and to the Service, including its web architectures, content production pipelines, algorithms, interfaces, designs, brand marks, and software code.
5.2 User Content, Outputs, and Automatic Deletion Lifecycle
- Your Inputs: You retain all ownership rights over the briefs, files, guidelines, and prompts you upload to the platform ("Inputs"). You warrant that you possess all necessary rights and licenses to submit these Inputs.
- Your Outputs: To the maximum extent permitted by applicable law and the terms of our underlying AI model providers, the Company assigns to you all right, title, and interest in and to the specific text and documents generated by the platform for you ("Outputs").
- Operational License: You grant the Company a limited, non-exclusive, worldwide, royalty-free, fully paid-up license to host, cache, copy, transmit, and process your Inputs and Outputs solely to provide, maintain, protect, and secure the Service for you. We do not use your Content or Outputs to train our own proprietary models.
User Backup Responsibility: The Company disclaims all liability for the loss, corruption, or destruction of content due to this automated schedule. You bear the sole responsibility to manually download, save, or export your work to an external system before the 90-day deletion window expires. We have no obligation to retrieve or recover content once it has been deleted.
6. Digital Millennium Copyright Act (DMCA) Takedown Policy
We respect intellectual property rights. If you believe that any material available on or through Forge infringes upon a copyright you own or control, please immediately send a written notification to our Designated Copyright Agent at [email protected] with the following details:
- A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright.
- Clear identification of the copyrighted work claimed to have been infringed.
- Identification of the material that is claimed to be infringing, along with precise URLs or location data within the Service to help us locate it.
- Your contact details, including address, telephone number, and email.
- A statement by you that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law.
- A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner.
7. Disclaimers and Limitation of Liability
7.1 Absolute Disclaimer of Warranties
THE SERVICE, INCLUDING ALL PIPELINES, INTERFACES, CODE, AND AI-GENERATED OUTPUTS, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, CHEXTR INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, FREEDOM FROM VIRUSES, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ACCURATE, ERROR-FREE, OR LOGICALLY CONSISTENT.
7.2 Limitation of Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CHEXTR INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF DATA, LOSS OF USE, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF COVER, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO CHEXTR INC. IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED US DOLLARS (USD $100).
8. Indemnification
You agree to defend, indemnify, and hold harmless Chextr Inc., its corporate affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, obligations, costs, or debt, and expenses (including but not limited to reasonable attorney's fees) arising from or relating to:
- Your access to and use of Forge.
- Your submitted Inputs or generated Outputs (including claims of copyright infringement, defamation, or trademark violation resulting from public commercialization).
- Your violation of any provision of these Terms or applicable law.
- Any interaction, billing issue, or contract dispute between you and a third-party AI provider via the BYOK workflow.
9. Governing Law, Binding Arbitration, and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
9.1 Governing Law
These Terms and your relationship with Chextr Inc. shall be governed by, and construed in accordance with, the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.
9.2 Mandatory Binding Arbitration
Except for small claims court disputes or intellectual property enforcement claims seeking emergency injunctive relief, you and Chextr Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your usage data will be settled by binding, individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. The arbitration will take place in Delaware, unless we mutually agree upon an alternative venue or a remote/virtual proceeding. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having competent jurisdiction.
9.3 Class Action and Jury Trial Waiver
YOU AND CHEXTR INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any form of a class or representative proceeding. You explicitly waive your right to a trial by jury.
10. Modifications, Suspensions, and Termination
10.1 System Changes
We reserve the right to modify, suspend, or discontinue Forge (or any portion thereof) temporarily or permanently at any time, with or without notice, and without any liability to you.
10.2 Termination by Company
We may suspend, restrict, or terminate your account and access to the platform immediately, without prior notice or liability, if we determine in our sole discretion that you have breached these Terms, engaged in fraudulent activity, or posed a security risk to our infrastructure.
10.3 Effect of Termination
Upon termination of your account, your right to use Forge terminates immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity obligations, limitations of liability, and the dispute resolution framework.
11. General Legal Provisions
Severability: If any provision of these Terms is found to be invalid or unenforceable, that specific provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
No Waiver: Our failure to enforce or insist upon strict performance of any right or provision of these Terms will not operate or be interpreted as a waiver of future enforcement.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the complete and exclusive agreement between you and Chextr Inc. regarding the platform, superseding all prior oral or written agreements.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign or delegate our rights and obligations under these Terms without restriction.
